Elon Musk’s deal to buy Twitter is in serious jeopardy, three people familiar with the matter say, as Musk’s camp concluded that Twitter’s figures on spam accounts are not verifiable.

 Musk’s team has stopped engaging in certain discussions around funding for the $44 billion deal, including with a party named as a likely backer, one of the people said. The people spoke on the condition of anonymity because of the sensitivity of the ongoing discussions.

Talks with investors have cooled in recent weeks as Musk’s camp has raised doubts about the recent data “fire hose” — a trove of data sold to corporate customers — they received from Twitter. Musk’s team’s doubts about the spam figures signal they believe they do not have enough information to evaluate Twitter’s prospects as a business, the people said.

Now that Musk’s team has concluded it cannot verify Twitter’s figures on spam accounts, one of the people said, it is expected to take potentially drastic action. The person said it was likely a change in direction from Musk’s team would come soon, though they did not say exactly what they thought that change would be.

The spam accounts are not the only reason Musk might try to wriggle out of the deal. Twitter’s share price has fallen dramatically since his takeover bid in April, leading to the impression that he is overpaying. And Musk also runs two other major companies, Tesla and SpaceX, along with some start-ups.

But the terms of the deal mean it wouldn’t be easy for Musk to walk away. Musk has agreed to complete it unless something major happens to Twitter’s business, and legal experts doubt the bot issue would qualify. Twitter, which initially fought Musk’s takeover bid, would be a weaker company if the deal falls apart than when Musk first bought a stake, and experts expect Twitter to fight to get it done. Twitter itself has said it intends to complete the deal. Even if Musk convinces a judge to let him walk away, he could still be on the hook for the deal’s $1 billion breakup fee.

 Twitter spokesperson Brian Poliakoff declined to comment, but referred to a statement the company made in June.

“Twitter has and will continue to cooperatively share information with Mr. Musk to consummate the transaction in accordance with the terms of the merger agreement,” Twitter said in the June statement. “We believe this agreement is in the best interest of all shareholders. We intend to close the transaction and enforce the merger agreement at the agreed price and terms.”

So, Elon managed to get behind the iron curtain Twitter erected around itself and all of its operations and found that it was all smoke and no fire. Turns out that the foundation of holy Twitter are spam bots and fake accounts. Regardless of what Musk does, Twitter will never be the same. Twitter fraud has been exposed and advertisers will only pay a fraction of what they had been paying and will demand actual real reliable data to justify their costs.

I hope the deal falls through, Twitter stock tumbles, and Musk comes back 2-3 years later and buys it for one-tenth of what he is offering now.

It’s not over yet. Elon Musk maintains that Twitter breached the agreement multiple times. There is room to negotiate a new deal for a much lower price than $54.20 per share.

All this means is that the $54.20 agreement is terminated.

If I had any insight into this I’d suggest to @elonmusk that Twitter is worth around $26-34 per share depending on the situation with their active users/bots.

There are going to be some TWTR stockholders who are about to sue the crap out of their Board of Directors.  The stock is now at $37.

Twitter claims it will take Elon Musk to court after the Tesla and SpaceX CEO announced his intention to pull out of a proposed $44 billion buyout of the company.

In a message posted to the platform, Twitter Chairman of the Board Bret Taylor said the company plans to sue Musk to ensure the original agreement is honored.

Breitbart News previously reported that Musk had pulled out of the deal in a letter sent to Twitter by his lawyers.

Twitter’s far-left, pro-censorship employees are largely opposed to the takeover by self-proclaimed “free speech absolutist” Musk, who promised to restore Donald Trump to the platform and implement a more lenient content moderation policy if he took over the company.

However, Twitter’s board has different priorities — they have a fiduciary duty to secure profits for their shareholders, and having committed to the deal on that basis, likely believe they have an obligation to pursue every reasonable avenue to ensure its success.

As I said weeks ago spam accounts are probably 50% not 5% of Twitter users. A

Elon Musk has informed Twitter that he's terminating a deal to buy the social media giant.

A law firm representing the Tesla CEO sent a letter to Twitter on Friday, alleging that they appear "to have made false and misleading representations" when Musk agreed to buy the company on April 25 and have "breached" multiple provisions of the initial agreement.

The announcement from Musk comes after a month's long feud over how many spam and fake accounts are on Twitter, and the Tesla CEO requested that Twitter provide details supporting its internal estimate that less than 5% of the platform's accounts are spam or fake.

Twitter CEO Parag Agrawal said an external review to determine the percentage of spam or fake accounts would be difficult to perform because of the "critical need to use both public and private information." The company eventually agreed to hand over a "firehose" of data from over 500 million tweets that are posted every day.

Elon Musk's decision to try to terminate his deal to buy Twitter has set up a massive court fight in Delaware, and has significantly reduced the range of possible outcomes.

Why it matters: At stake is the future of one of the most powerful social networks in the world.

What's next: Twitter will claim "specific performance" — which is to say, they will claim that Musk is obligated to buy the company and can't just walk away.

•   Musk will claim that Twitter has lied about the proportion of its users that are bots, and that he can therefore tear up the merger agreement.

Between the lines: The Delaware court could rule either way. Or, potentially, the two sides can come to an out-of-court settlement while the trial is ongoing, whereby Musk buys Twitter at a discount to his agreed $54.20 price.

•   The big unknown is what happens if the court rules in Twitter's favor, and then Musk simply refuses to pony up the cash to buy the company.

The bottom line: Both sides are going to be spending a lot of money on legal fees for the foreseeable future.

The best part of this lawsuit will be what comes out during discovery, and public litigation.  I think the level of falsification of number valid users, will constitute not only fraud to Musk's interest's but to (1) every single company that has bought ad space on this cesspool, and (2) every unwary sucker investor who bought in into a social media ponzi scam.   Watch for follow-up suits, and maybe a class action suit holding Twitter liable for  fraudlent business practices.

Then watch "TW@T"  stock price drop to <10, and Musk will get to buy it pennies on the dollar, and fix it for good.  Never bet against Musk.  He got where be did for a reason.

The news for Twitter is not good.  Elon Musk announced yesterday that he was ending his efforts to purchase the company because the company has not acted in good faith in providing information requested and because the company appears to have made false and misleading representations not just to Musk but to the SEC and its investors!

A letter from Musk to the SEC yesterday explained Musk’s position and decision not to buy the company.

As predicted Twitter is now in a lot of trouble.  Investors are very upset with the company’s action and inaction.  Twitter management cost investors significant losses in their investment in Twitter by not working with Musk and providing the information he requested and they had a duty to provide as part of the sale.

It seems clear that Twitter management, the same management that for years has been censoring free speech by deleting conservative accounts on their platform, these nasty social media tyrants also have apparently been lying about their number of fake accounts.  Musk found this out and the leadership of Twitter won’t provide the data Musk needs because it likely will show Twitter’s lies to the SEC.

This is really not good for Twitter management.  If Twitter did knowingly provide false information to the SEC they are in so much trouble.  This is really not good.

In a pair of tweets the CEO suggested that he feels he has outsmarted Twitter. Musk published a series of photos showing him laughing increasingly hysterically, with captions “They said I couldn’t buy Twitter; Then they wouldn’t disclose bot info; Now they want to force me to buy Twitter in court; Now they have to disclose bot info in court.”



A second tweet, published minutes later, included a picture of Chuck Norris playing chess, to which Musk replied “Chuckmate.”
