CVS Health to buy Aetna for around $69 billion
CNBC, Dec 3, 2017, Lauren Hirsch, Bertha Coombs

CVS Health will acquire Aetna for roughly $69 billion in cash and stock in a first-of-its kind deal aimed at fending off challenges in retail and health care, the companies announced on Sunday.

The landmark agreement is one of the year's largest so far. It comes as insurers are under pressure to lower medical costs, and retailers are under attack from new competitors, including an increasingly powerful Amazon. It creates the first health care triple threat, combining CVS's pharmacy and pharmacy benefit manager (PBM) platform with Aetna's insurance business.

According to the agreed terms, Aetna stockholders will receive $207 per share, $145 in cash and $62 in stock. Including debt, the deal is valued at $78 billion.

Upon the closing of the transaction, three of Aetna's directors, including Chairman and CEO Mark Bertolini, will join the CVS board of directors. Aetna will operate as a stand-alone business unit within the larger company, led by members of the insurer's current management team.

I just had a call from Aetna tonight.

I'll have to transfer all my meds to cvs next year from my pharmacy I've been using for 20 years.

I'm upset  8888crybaby

CVS also announcing the delivery of more medical services from their retail locations.

Combining with Aetna insurance, and it becomes a vertically integrated medical services company.

I'm keeping an open mind. More power to them, if they can experiment, apply a new paradigm.

My providers have some vertical integration.

This is setting up to be a pot war between CVS and Amazon.

Can you explain how Marijuana becomes part of this?

Well, it's a little bit of a joke, but Amazon has been talking about getting into the distribution of pharmaceuticals and now with CVS expanding their medical services, I figure in the states where medical marijuana is legal it will be a battle between Amazon and CVS brand joints; whose is better quality, who can deliver within the day, who can deliver the snacks to go along with it, etc.

Pot is the biggest cash crop on the horizon since ethanol corn. Insurance companies are going to cover pot buying soon as it is being legalized in more places by the second. Two legs of this stool are in place after this merger. Only leg left is production. They'll figure that out shortly.

@Freya

Just a bit of advice—- keep on top of CVS and make sure they give you the right meds.  They have screwed up prescriptions more than once for us, and I know people who’ve had the same experience.  It’s only anecdotal, but I’m just saying.

Thanks @CatherineofAragon

There are two CVS within two miles from me and two Walgreens. The CVS are dirty, disorganized and messsy. The Walgreens are orderly, clean, happy. I love buying my makeup there.

Even their Yelp scores reflect people like the Walgreens more.

No, I'm not happy. I'm going to find out how much my scripts are and if it's not much, a dollar or two, I'll stay with stop and shop

I agree, Walgreens is definitely the better store.  Think I’ll stop by their Essie polish display today and get a couple of colors.

I've had Aetna Medicare Advantage for a few years now.

In 2016, CVS was on the "preferred pharmacy" list for Aetna.
But then, for this year (2017), Aetna dropped CVS as preferred (going to Walgreens instead).
And now, for 2018, they're dropping Walgreens and going back to CVS.

I guess CVS' move to buy Aetna had sumthin' to do with that!

I use Walmart (also on the preferred list)...
